These Terms of Service govern your access to and use of Helprs Pro, including our websites, mobile applications, and related services. Helprs Pro is operated by Helprs Technology LLC(“Helprs,” “we,” “our,” or “us”). By accessing or using Helprs Pro, you agree to these Terms. If you do not agree, you must not use the service.
If you use Helprs Pro on behalf of a business, employer, or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “you” and “your” mean both you individually and the organization you represent.

Helprs Pro is a software platform that helps businesses manage their workforce and customers through scheduling, payments, communications, and other administrative functions. The service is available through the web and mobile applications.
2. Eligibility and Authorized Use
You must be at least 16 years old to use Helprs Pro. If you are under the age of majority where you live, you may use the service only with authorization from your parent or legal guardian and, where applicable, your employer or organization. Helprs Pro is not directed to children under 13, and you may not use the service if doing so would violate applicable law.
You may use Helprs Pro only for lawful business and operational purposes and only in compliance with these Terms and applicable laws. We currently intend the service for use in the United States, Canada, and Mexico.
3. Accounts and Workspace Administration
An account is required to access Helprs Pro. We may support sign-in methods such as Google, Apple, SSO, and invite-only access. Business customers may create organizational workspaces, and workers or other users may be invited by an administrator.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account or within your workspace, whether authorized by you or not, to the extent permitted by law. You must promptly notify us if you believe your account has been compromised.
Workspace administrators are responsible for managing their users, permissions, connected business data, and internal content practices. We do not act as the employer, supervisor, or controller of a customer organization's internal operations.
4. License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Helprs Pro during your subscription term for your internal business use. Helprs Pro is licensed, not sold. Except for the limited rights expressly granted in these Terms, we reserve all rights, title, and interest in and to the service, including all software, technology, documentation, branding, designs, and related intellectual property.
5. Acceptable Use and Restrictions
You may not use Helprs Pro to engage in unlawful conduct or in a way that harms us, our users, or the service. Without limiting the general rule, you may not use the service to infringe intellectual property rights, harass or threaten others, distribute spam or deceptive content, upload malware or harmful code, attempt unauthorized access, interfere with service integrity or performance, reverse engineer or copy the service except where applicable law expressly permits it, bypass usage limits or access controls, impersonate another person or entity, use the service to violate third-party rights or laws, or use the service to build a competing product or model using unauthorized extraction, scraping, or automated means.
We may investigate suspected violations and may suspend, restrict, remove content, or terminate access when we reasonably believe a violation has occurred or where required for security, legal compliance, fraud prevention, or protection of other users.
6. Subscriptions, Billing, and Payment Terms
Helprs Pro offers freemium, trial-based, usage-based, and subscription-based services, including Basic, Professional, and Enterprise tiers. Billing may be monthly, annual, usage-based, or a combination of these. Payments are currently processed through direct billing and Stripe, not through Apple in-app purchase.

You authorize us and our payment processors to charge the payment method on file for subscription fees, usage fees, taxes, and other amounts due. If payment is not received when due, we may restrict access, downgrade service, or terminate the account after reasonable collection efforts or notice.
7. Customer Data, User Content, and Public Profile Information
Helprs Pro allows users and customer organizations to upload, submit, store, transmit, or otherwise make available content and data, including text, images, video, analytics, messages, documents, customer records, worker records, scheduling details, and related business information (collectively, “Customer Content”).
As between you and Helprs, the applicable business customer or workspace owner owns the Customer Content submitted to its workspace. Helprs does not claim ownership of Customer Content. However, you grant us a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, back up, modify, and otherwise use Customer Content solely as necessary to provide, secure, support, maintain, improve, and troubleshoot the service, to comply with law, and to enforce these Terms.
Some content may be visible publicly by design, such as a business profile and contact information that a customer organization chooses to make available through the service. Other content is intended to remain limited to the relevant account or workspace participants.
You are responsible for ensuring that you have all rights, permissions, consents, and legal authority necessary to submit Customer Content and to allow us to process it as described in these Terms and our Privacy Policy.
8. Aggregated and De-Identified Data
We may create and use aggregated, anonymized, or de-identified data derived from use of Helprs Pro for analytics, security, service improvement, benchmarking, operational reporting, and other lawful business purposes, provided that such data does not identify you or any individual person.
9. AI Features and Automated Recommendations
Helprs Pro may provide AI-generated outputs, insights, summaries, recommendations, or other automated assistance. These features are intended to support business operations and decision-making, not replace human review, legal advice, financial advice, employment decisions, or other professional judgment.
AI outputs may be incomplete, inaccurate, or inappropriate for your specific circumstances. You are responsible for reviewing all outputs before relying on them, acting on them, sharing them, or using them in customer, workforce, legal, financial, or operational decisions. To the extent permitted by law, we disclaim liability arising from reliance on AI-generated content or recommendations.
10. Feedback
If you provide suggestions, comments, ideas, enhancement requests, or other feedback about Helprs Pro, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, modify, disclose, reproduce, distribute, and otherwise exploit that feedback without restriction and without compensation to you.
11. Intellectual Property Rights
Helprs Pro, including its software, source and object code, interfaces, workflows, documentation, designs, logos, trademarks, service marks, website content, and related materials, is owned by Helprs or its licensors and is protected by intellectual property laws.
Except as expressly permitted in these Terms or by applicable law, you may not copy, reproduce, distribute, publish, frame, mirror, modify, create derivative works from, reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of Helprs Pro. You may not remove or alter proprietary notices or use our branding in a way that suggests endorsement, affiliation, or ownership without our prior written consent.
12. Third-Party Services
Helprs Pro may rely on or interoperate with third-party services, tools, and infrastructure, including providers such as Stripe, Google Analytics, OpenAI, Sentry, and Supabase. We may also use other service providers, subprocessors, and infrastructure vendors from time to time.
Third-party services are governed by their own terms, privacy notices, and policies. We are not responsible for third-party products or services, and your use of them may be subject to additional terms. If a third-party service becomes unavailable or changes materially, certain features of Helprs Pro may be affected.
13. Suspension and Termination
We may suspend, restrict, or terminate your access to Helprs Pro, with or without notice where reasonable under the circumstances, if you violate these Terms, fail to pay amounts due, create legal or security risk, engage in fraud, misuse the service, remain inactive for an extended period, or if we are required to do so by law.
You may stop using the service and cancel your subscription at any time, subject to any applicable billing commitments. Sections of these Terms that by their nature should survive termination will survive, including sections relating to payment obligations accrued before termination, intellectual property, disclaimers, limitation of liability, dispute resolution, and any license rights needed to process retained data during applicable retention periods.
14. Data Retention After Deletion or Termination
If an account is deleted or terminated, we may retain certain data for the periods described in our Privacy Policy, including for legal compliance, billing, fraud prevention, dispute resolution, security, backups, and legitimate business purposes. Retention of data does not reinstate service access rights.
15. Disclaimer of Warranties
Helprs Pro is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Helprs and its affiliates, officers, employees, contractors, licensors, and service providers disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and availability.
We do not guarantee that the service will be uninterrupted, error-free, secure, or free from harmful components, or that any content, analytics, recommendation, or output will be accurate, complete, or suitable for your needs. We do not provide any service level commitment or uptime guarantee under these Terms unless you enter into a separate written agreement that expressly says otherwise.
16. Limitation of Liability
To the maximum extent permitted by law, Helprs and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunities, or business interruption, arising out of or related to Helprs Pro or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of Helprs for all claims arising out of or relating to the service or these Terms will not exceed the total amount you paid to Helprs for the service during the 12 months before the event giving rise to the claim. If you have not paid Helprs any amounts during that period, Helprs' total liability will not exceed US$100.
Some jurisdictions do not allow certain liability exclusions or limitations, so some of the above may not apply to you to the extent prohibited by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Helprs and its affiliates, officers, directors, employees, contractors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or related to your Customer Content, your use of the service, your violation of these Terms, your violation of applicable law, or your infringement or misappropriation of any rights of another person or entity.
18. Informal Dispute Resolution and Arbitration
Please contact us first if you have a dispute. Most concerns can be resolved informally.
Before either party files a claim, that party must provide written notice of the dispute and allow at least 30 days for informal resolution. Notices must be sent to info@helprs.com. The notice must describe the nature of the dispute and the relief requested.
If a dispute is not resolved within that 30-day period, the dispute will be resolved by binding individual arbitration in Wyoming, except to the extent a claim qualifies for small claims court or either party seeks temporary injunctive relief to protect intellectual property, confidential information, or security interests. To the maximum extent permitted by law, you and Helprs waive any right to a jury trial.
You and Helprs also agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
If the arbitration agreement or class action waiver is found unenforceable as to a particular claim, then that claim will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
19. Governing Law
These Terms and any dispute arising out of or related to them or Helprs Pro are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except to the extent federal law requires otherwise.
20. Mobile App Terms and Apple-Specific Terms
If you use the Helprs Pro mobile application on an Apple device, the following terms apply in addition to the rest of these Terms.
You acknowledge that these Terms are between you and Helprs only, not with Apple, and Apple is not responsible for Helprs Pro or its content. The license granted to you for the iOS application is limited to a non-transferable right to use the application on any Apple-branded product that you own or control, as permitted by the Apple Media Services Terms and Conditions, except that the application may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where allowed by Apple.
Apple has no obligation to furnish any maintenance or support services for the application. In the event of any failure of the application to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the application.
Apple is not responsible for addressing any claims by you or any third party relating to the application or your possession or use of the application, including product liability claims, claims that the application fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim relating to the application.
You represent and warrant that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties. You must comply with applicable third-party terms when using the mobile application. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS application and may enforce those terms against you.
21. Copyright and IP Complaints
If you believe content available through Helprs Pro infringes your copyright or other intellectual property rights, please send a notice to info@helprs.com with sufficient detail for us to review the claim, including your contact information, identification of the allegedly infringing material, identification of the rights claimed to be infringed, and a statement supporting your good-faith belief that the use is unauthorized. We may remove or disable access to content where appropriate.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will generally notify you through email, in-app notice, or both. Changes will become effective on the date stated in the notice. By continuing to use Helprs Pro after the effective date of updated Terms, you agree to the revised Terms.
23. General Terms
These Terms, together with our Privacy Policy and any order form or separate written agreement that expressly incorporates these Terms, form the entire agreement between you and Helprs regarding Helprs Pro, except where a separate written agreement controls. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.
